Terms of Service

Please read these Terms of Service (“Terms”) carefully before accessing or using the MyShowcase website, mobile application, and related services (collectively, the “Service”), operated by MyShowcase LLC (“MyShowcase,” “we,” “us,” or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all individuals and entities who access or use the Service, whether as registered users or otherwise, including collectors, dealers, businesses, organizations, and their authorized representatives. By accessing or using the Service, you agree to be bound by these Terms.

By accessing, browsing, or using the Service, you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you may not access or use the Service.

Platform Overview

MyShowcase is a software platform designed to help collectors, dealers, hobby businesses, and organizations manage collectible inventory and streamline hobby-related operations. The Service provides tools and features that may include inventory management, card cataloging, pricing and market insights, label generation and printing, analytics, artificial intelligence (AI) assistance, show preparation, marketplace integrations, reporting, and other related services.

MyShowcase is a technology platform only. MyShowcase does not buy, sell, broker, consign, authenticate, grade, appraise, warehouse, insure, or take possession of collectibles, nor does it act as an auctioneer, marketplace, escrow service, payment processor, or agent for any user.

Certain features of the Service may display or utilize information obtained from third-party sources, including but not limited to marketplaces, pricing services, grading companies, manufacturers, public databases, and other data providers. Such information is provided solely for informational and convenience purposes and may not be complete, accurate, current, or available at all times.

MyShowcase does not guarantee the accuracy, completeness, timeliness, availability, or reliability of any third-party information, including pricing data, market trends, comparable sales, product information, grading information, or inventory data, and shall not be responsible for any errors, omissions, delays, or inaccuracies in such information.

References within the Service to third-party companies, marketplaces, grading services, manufacturers, products, trademarks, service marks, logos, or brand names are provided for identification and compatibility purposes only and do not imply any affiliation with, endorsement by, sponsorship of, or partnership with MyShowcase unless expressly stated. All trademarks, service marks, logos, and other intellectual property remain the property of their respective owners.

Eligibility & Accounts

You must be at least 13 years old to use the Platform. If you are between 13 and 18, you may only use the Platform with parental/legal guardian consent. By using our Platform, you agree to comply with these Terms, our Privacy Policy, and all applicable laws.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

User Roles

Individual Users

Individual users, including collectors and dealers, are solely responsible for the accuracy, ownership, authenticity, grading, pricing, legality, storage, and management of any inventory, information, or content they add to the Service. Individual users are also responsible for complying with all applicable local, state, federal, and international laws, including any tax, licensing, or reporting obligations arising from their activities.

Organizations and Business Accounts

Organizations, businesses, card shops, teams, and other entities using the Service are responsible for managing their accounts, authorized users, permissions, inventory, business operations, and compliance with all applicable laws and regulations. Organizations are solely responsible for the actions of individuals accessing the Service through their accounts.

Team Members and Authorized Users

Employees, contractors, volunteers, or other authorized users who access the Service on behalf of an organization do so under the authority of the applicable account owner. The account owner is responsible for managing user access, permissions, and activity associated with its account.

User Responsibility

MyShowcase is a software platform and does not verify the ownership, authenticity, condition, grading, legality, provenance, value, or marketability of any collectible or inventory item managed through the Service. Users are solely responsible for maintaining accurate inventory records, complying with applicable laws, collecting and remitting any required taxes, obtaining any necessary licenses or permits, and making all decisions relating to the purchase, sale, pricing, storage, shipment, or transfer of collectibles.

All users of the Service act as independent third parties and not as employees, agents, partners, joint venturers, or representatives of MyShowcase.

Payments, Fees & Subscriptions

MyShowcase may charge fees in connection with the use of the Service, including but not limited to subscription fees, platform fees, premium feature fees, marketplace integration fees, transaction fees, storage fees, artificial intelligence (AI) usage fees, and other service-related charges.

Certain fees may include payment processing costs charged by third-party payment providers, including Stripe. All applicable fees will be clearly disclosed before you complete a purchase, subscribe to a paid plan, or incur any charge. By completing a transaction or subscribing to a paid plan, you agree to pay all applicable fees.

Unless otherwise stated, required by applicable law, or expressly provided in a separate written agreement:

• Subscription fees are non-refundable.
• Platform, service, and premium feature fees are non-refundable.
• Payment processing fees are non-refundable.
• Partial billing periods will not be prorated or refunded.
• MyShowcase is not obligated to provide refunds for completed purchases, subscriptions, or transactions.

Subscriptions will automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel your subscription at any time; however, cancellation will become effective at the end of the current billing period unless otherwise required by applicable law.

MyShowcase reserves the right to modify its pricing, subscription plans, features, and fee structure at any time. Any changes to recurring subscription pricing will apply only after reasonable notice and upon your next renewal, unless otherwise permitted by applicable law.

MyShowcase uses Stripe and other third-party payment providers to process payments. MyShowcase is not a bank, financial institution, escrow service, payment processor, or payment guarantor and is not responsible for the services, policies, or actions of any third-party payment provider.

User Contributions and License

“Contributions” means any content, information, data, images, photographs, inventory records, descriptions, pricing information, labels, notes, logos, messages, documents, AI prompts, or other materials that you upload, submit, create, transmit, or otherwise make available through the Service.

You retain ownership of your Contributions. By submitting Contributions through the Service, you grant MyShowcase LLC a limited, non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, modify, format, display, transmit, distribute, and otherwise use your Contributions solely as necessary to operate, maintain, secure, improve, support, and promote the Service and to provide the features and functionality you request.

To improve the functionality of the Service, MyShowcase may format, resize, compress, categorize, organize, summarize, translate, or otherwise process your Contributions, including through automated systems and artificial intelligence technologies. Such processing is performed solely to operate and improve the Service and does not transfer ownership of your Contributions to MyShowcase.

You represent and warrant that you own or otherwise have all necessary rights, permissions, and authority to submit your Contributions and to grant the license described in these Terms, and that your Contributions do not violate the intellectual property, privacy, publicity, contractual, or other legal rights of any person or entity.

The license granted under this section terminates when your Contributions are permanently removed from the Service, except to the extent retention is reasonably necessary for backups, legal compliance, security, dispute resolution, enforcement of these Terms, or the continued operation of the Service.

Prohibited Conduct

When using the Service, you agree that you will not:

• Violate any applicable local, state, federal, or international law or regulation.
• Submit false, misleading, fraudulent, or inaccurate information, including inventory records, pricing, ownership, grading, authenticity, or marketplace data.
• Upload, store, or distribute counterfeit, stolen, illegal, or infringing items or related content.
• Use the Service to facilitate fraudulent, deceptive, or unlawful transactions.
• Circumvent subscription fees, platform fees, payment systems, usage limits, or other technical or contractual restrictions.
• Reverse engineer, decompile, disassemble, copy, modify, or attempt to discover the source code, algorithms, or underlying technology of the Service, except as expressly permitted by applicable law.
• Scrape, harvest, extract, copy, or systematically collect data, content, or information from the Service through automated means without MyShowcase’s prior written consent.
• Interfere with, disrupt, damage, overload, or compromise the security, integrity, or availability of the Service or its supporting infrastructure.
• Upload viruses, malware, malicious code, or other harmful technologies.
• Attempt to gain unauthorized access to any account, system, network, or data belonging to MyShowcase or another user.
• Misrepresent your identity or impersonate any individual, business, or organization.
• Harass, threaten, intimidate, abuse, or defraud any user or third party.
• Use the Service to infringe upon the intellectual property, privacy, publicity, or other legal rights of any person or entity.
• Misuse, manipulate, or attempt to exploit AI features, marketplace integrations, pricing tools, or automated systems in a manner inconsistent with their intended purpose.
• Use the Service in any manner that could impair, disable, or negatively affect the operation, reliability, or security of the Service or the experience of other users.

MyShowcase reserves the right to investigate suspected violations of these Terms and may suspend, restrict, or terminate access to the Service at its sole discretion, with or without notice, where permitted by applicable law.

Business and Tax Responsibility

MyShowcase is a software platform designed to assist users in managing inventory and related business operations. The Service is provided solely as a tool to help organize information and streamline workflows. MyShowcase is not an accounting system, tax preparation service, bookkeeping service, financial institution, legal advisor, business consultant, appraisal service, authentication service, or licensed professional advisor.

Users are solely responsible for the operation and management of their businesses, including, without limitation:

• Maintaining accurate books and records;
• Determining the accuracy of inventory, purchases, sales, expenses, profits, and other financial information;
• Collecting, reporting, and remitting all applicable sales, use, income, and other taxes;
• Filing all required tax returns and governmental reports;
• Complying with all applicable federal, state, local, and international laws and regulations;
• Obtaining any required licenses, permits, or registrations;
• Maintaining appropriate business records and backups; and
• Consulting with qualified legal, tax, accounting, or financial professionals when appropriate.

Any reports, summaries, analytics, profit calculations, tax estimates, financial information, or other data generated by the Service are provided solely for informational and convenience purposes. Users are solely responsible for independently reviewing and verifying all such information before relying upon it for accounting, tax, legal, financial, or business purposes.

MyShowcase does not guarantee that any information generated by the Service complies with applicable accounting standards, tax laws, or regulatory requirements and shall not be responsible for any tax liability, penalties, interest, audits, reporting errors, accounting discrepancies, or other business-related losses arising from the use of the Service.

Intellectual Property Rights

The Service, including its software, source code, object code, user interface, design, workflows, algorithms, artificial intelligence (AI) features, prompts, databases, application programming interfaces (APIs), label templates, reports, analytics, documentation, graphics, branding, logos, trademarks, service marks, text, and all other original content, functionality, and technology, are and shall remain the exclusive property of MyShowcase LLC and its licensors and are protected by applicable copyright, trademark, trade secret, patent, and other intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, adapt, translate, publicly display, publicly perform, publish, sell, license, lease, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any portion of the Service without the prior written consent of MyShowcase LLC.

Nothing in these Terms grants you any ownership interest in or license to the Service or any of MyShowcase’s intellectual property except for the limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms.

MyShowcase respects the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, trademark, or other intellectual property rights, you may submit a written notice identifying the protected work, the allegedly infringing material, and sufficient information for us to investigate your claim. Upon receipt of a valid notice, MyShowcase may remove, disable access to, or otherwise address the allegedly infringing material in accordance with applicable law.

Nothing in these Terms shall be construed as transferring ownership of any MyShowcase intellectual property to any user, subscriber, organization, or third party. All rights not expressly granted under these Terms are reserved by MyShowcase LLC.

User Data

MyShowcase implements commercially reasonable administrative, technical, and physical safeguards designed to protect the security and integrity of user data. However, no method of electronic storage, transmission, or security is completely secure, and MyShowcase cannot guarantee that unauthorized access, loss, corruption, deletion, interruption, or alteration of user data will never occur.

You are solely responsible for the accuracy, completeness, and maintenance of the data, images, inventory records, and other content you submit to the Service. You are encouraged to maintain your own backups of important information.

To the fullest extent permitted by applicable law, MyShowcase shall not be liable for any loss, corruption, deletion, synchronization error, interruption, unauthorized access, or inability to recover user data, whether resulting from system failures, third-party services, user actions, internet connectivity issues, or other causes beyond MyShowcase’s reasonable control.

Marketplace Integrations

The Service may integrate with or provide access to third-party marketplaces, payment providers, grading companies, pricing services, shipping providers, authentication services, and other external platforms (“Third-Party Services”), including, without limitation, eBay, TCGplayer, COMC, PSA, Beckett, SGC, Card Ladder, 130point, Goldin, Stripe, and similar services.

Your use of any Third-Party Service is subject to that third party’s own terms of service, privacy policy, and other applicable agreements. MyShowcase does not own, operate, control, or endorse any Third-Party Service unless expressly stated.

MyShowcase does not guarantee the availability, compatibility, accuracy, completeness, reliability, security, performance, or uninterrupted operation of any Third-Party Service or any integration with such services. Third-Party Services may modify, suspend, restrict, or discontinue their APIs, features, pricing, or access requirements at any time without notice, which may affect the functionality of the Service.

MyShowcase is not responsible for synchronization delays or failures, listing errors, inventory discrepancies, pricing inaccuracies, data loss, authentication results, grading information, account suspensions, payment processing issues, API limitations, or any other errors, omissions, interruptions, or damages arising from or relating to Third-Party Services or your use of such services.

You are solely responsible for maintaining any required accounts with Third-Party Services and for complying with their applicable terms, policies, and requirements. MyShowcase may add, modify, suspend, or discontinue integrations with any Third-Party Service at any time without liability.

Pricing & Valuation Disclaimer

The Service may provide historical sales information, comparable sales, estimated market values, pricing suggestions, market trends, analytics, artificial intelligence (AI) generated insights, and other informational content relating to collectibles (“Market Information”).

Market Information is provided solely for informational and convenience purposes. MyShowcase does not guarantee the accuracy, completeness, reliability, timeliness, or availability of any Market Information and makes no representation or warranty that any estimated value, pricing suggestion, comparable sale, or market analysis reflects the current or future value of any collectible.

Market Information is not an appraisal, authentication, grading opinion, financial advice, investment advice, tax advice, legal advice, or professional valuation. Nothing provided through the Service should be relied upon as the sole basis for purchasing, selling, pricing, consigning, grading, insuring, or otherwise making decisions regarding any collectible.

Users are solely responsible for independently verifying all pricing information, market data, comparable sales, AI-generated recommendations, and other Market Information before relying upon or acting on such information. All decisions relating to the purchase, sale, pricing, authentication, grading, storage, insurance, or transfer of collectibles are made solely at the user’s own risk.

Collectible markets are inherently volatile, and historical sales or market trends are not guarantees or predictions of future value or market performance.

Artificial Intelligence Features

The Service may include artificial intelligence (“AI”) features that assist users with tasks such as optical character recognition (OCR), inventory identification, data extraction, categorization, pricing suggestions, market insights, descriptions, recommendations, translations, summaries, search, and other automated functions.

AI-generated content is produced through automated processes and may be inaccurate, incomplete, outdated, misleading, or otherwise incorrect. MyShowcase does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content or recommendation.

Users are solely responsible for reviewing, verifying, and approving all AI-generated information before relying upon or using it. This includes, without limitation, card identification, player names, manufacturers, sets, years, card numbers, serial numbers, grades, pricing information, comparable sales, descriptions, labels, inventory details, and marketplace listings.

AI-generated content is provided solely as a productivity tool and should not be considered authentication, grading, appraisal, financial advice, investment advice, legal advice, tax advice, or any other form of professional advice.

MyShowcase reserves the right to modify, improve, limit, suspend, or discontinue any AI feature at any time without notice. AI features may be subject to usage limits, subscription requirements, or additional fees, which will be disclosed through the Service where applicable.

Inventory Responsibility

Users are solely responsible for all inventory, collectibles, and other property managed through the Service. This responsibility includes, without limitation, the ownership, authenticity, provenance, grading, condition, accuracy, completeness, pricing, legality, storage, insurance, shipment, import or export compliance, tax obligations, and sale or transfer of such inventory.

MyShowcase does not verify, authenticate, appraise, grade, inspect, insure, or guarantee any collectible, inventory item, or information submitted through the Service. Any inventory records, descriptions, pricing information, labels, marketplace listings, or other content generated or stored through the Service are provided solely as tools to assist users in managing their collections and business operations.

Users are solely responsible for ensuring that all inventory information is accurate and current and for complying with all applicable laws, regulations, marketplace policies, licensing requirements, tax obligations, and shipping requirements applicable to their activities.

MyShowcase shall not be responsible for any loss, damage, theft, counterfeit item, fraudulent transaction, grading dispute, pricing dispute, tax liability, shipping issue, insurance claim, or other matter relating to a user’s inventory or collectibles.

Offline Mode

Certain features of the Service may be available while your device is offline or has limited internet connectivity (“Offline Mode”). Offline Mode is provided as a convenience to allow users to continue managing inventory and using supported features when an internet connection is unavailable.

Data created or modified while using Offline Mode may not synchronize immediately. Synchronization may occur automatically or manually once an internet connection is restored. During synchronization, conflicts, delays, duplicate records, missing updates, or other synchronization issues may occur.

Users are solely responsible for reviewing synchronized data and verifying the accuracy and completeness of their inventory, records, and other information following synchronization. MyShowcase does not guarantee that Offline Mode will be available at all times or that synchronization will occur without interruption, delay, conflict, or error.

To the fullest extent permitted by applicable law, MyShowcase shall not be liable for any loss of data, duplicate records, synchronization conflicts, inventory discrepancies, or other damages arising from or relating to the use of Offline Mode or the synchronization of offline data.

Label Printing

The Service may provide features that enable users to generate, export, and print labels, barcodes, QR codes, or other printable materials for inventory management and business operations.

MyShowcase does not manufacture, sell, control, or guarantee the compatibility, performance, or functionality of any third-party printer, label media, operating system, browser, mobile device, or printing application. Compatibility may vary depending on the hardware, software, firmware, printer drivers, label stock, and other factors outside of MyShowcase’s control.

Users are solely responsible for verifying the accuracy, formatting, sizing, alignment, scannability, and content of all labels, barcodes, QR codes, and other printed materials before using them in connection with inventory, sales, shipping, or other business activities.

MyShowcase makes no warranty that printed output will be free from formatting errors, scaling issues, alignment problems, printer-specific variations, or other compatibility issues. Users are responsible for ensuring that their printer and printing configuration are appropriate for their intended use.

To the fullest extent permitted by applicable law, MyShowcase shall not be liable for any losses, damages, inventory errors, shipping errors, misidentification, or other claims arising from the generation, export, printing, or use of labels or other printable materials created through the Service.

Beta and Experimental Features

From time to time, MyShowcase may offer features, functionality, integrations, or services identified as “Beta,” “Preview,” “Early Access,” “Experimental,” or by a similar designation (collectively, “Beta Features”).

Beta Features are provided for evaluation and testing purposes and may be incomplete, contain errors or defects, operate differently than expected, or be modified, suspended, or discontinued at any time without notice.

MyShowcase makes no representations or warranties regarding the availability, reliability, performance, or suitability of any Beta Feature and expressly disclaims any obligation to continue supporting, maintaining, or offering any Beta Feature.

Users acknowledge that Beta Features may affect data, integrations, workflows, inventory records, or other functionality of the Service. Users choose to use Beta Features at their own risk and are encouraged to maintain appropriate backups of important data before using such features.

MyShowcase reserves the right to limit access to Beta Features based on subscription level, invitation, geographic location, account status, usage limits, or other criteria determined in its sole discretion.

Electronic Communications & Signatures

By creating an account, accessing, or using the Service, you consent to receive communications from MyShowcase electronically, including by email, through the Service, or by other electronic means. You agree that all agreements, notices, disclosures, billing information, invoices, records, policies, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

You further agree to the use of electronic signatures, electronic contracts, electronic authorizations, electronic payments, and electronic records in connection with your use of the Service. You waive any rights or requirements under applicable law requiring an original (non-electronic) signature, paper records, or non-electronic delivery, except where such waiver is prohibited by law.

You are responsible for maintaining a current and accurate email address and other contact information associated with your account. MyShowcase is not responsible for any delay or failure to receive electronic communications resulting from outdated or inaccurate contact information or circumstances beyond MyShowcase’s reasonable control.

Apple and Android Applications

If you access or use the Service through a mobile application downloaded from the Apple App Store, Google Play Store, or another authorized application marketplace (each, an “App Distributor”), the following additional terms apply:

License

Subject to these Terms, MyShowcase grants you a limited, non-exclusive, non-transferable, revocable license to install and use the mobile application on a device that you own or control and that is running a supported version of the applicable operating system. Your use of the application must comply with these Terms and the applicable App Distributor’s terms and policies.

Maintenance and Support

MyShowcase LLC is solely responsible for providing maintenance and support for the Service as required by these Terms or applicable law. You acknowledge that no App Distributor has any obligation to provide maintenance, technical support, or customer service relating to the Service.

Warranty Disclaimer

To the extent permitted by applicable law, the App Distributors have no warranty obligations whatsoever with respect to the Service. Any warranties, if any, are provided solely by MyShowcase as expressly stated in these Terms.

Export Compliance

You represent and warrant that:

• You are not located in, or ordinarily resident in, a country subject to a United States government embargo or other applicable trade restriction.
• You are not listed on any United States government list of prohibited or restricted persons or entities.
• You will not use the Service in violation of applicable export control or sanctions laws.

Third-Party Terms

You agree to comply with all applicable third-party agreements, including your wireless carrier agreement and the terms and policies of any App Distributor through which you obtain or use the Service.

Third-Party Beneficiaries

You acknowledge and agree that Apple Inc., Google LLC, and their respective affiliates, as applicable, are third-party beneficiaries of this section of these Terms and may enforce this section against you to the extent permitted by applicable law.

Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. MYSHOWCASE LLC DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, MYSHOWCASE DOES NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free;
• The Service will meet your specific requirements or expectations;
• Inventory data, pricing information, comparable sales, market values, analytics, or AI-generated content will be accurate, complete, or current;
• Marketplace integrations, third-party services, or external APIs will remain available or function without interruption;
• Label printing, barcode generation, exports, reports, or other outputs will be compatible with every device, printer, or software configuration;
• Data synchronization, including offline synchronization, will occur without delay, conflict, duplication, or error; or
• Any defects or errors in the Service will be corrected.

Any pricing information, market data, comparable sales, estimated values, artificial intelligence (AI) recommendations, analytics, or other informational content provided through the Service is offered solely for informational purposes and should not be relied upon as professional, financial, investment, tax, legal, accounting, appraisal, or authentication advice. Users are solely responsible for independently verifying all information before making purchasing, selling, pricing, grading, inventory, or business decisions.

You acknowledge and agree that your use of the Service is at your sole risk and that you are solely responsible for the management, security, backup, accuracy, authenticity, grading, ownership, pricing, storage, sale, shipment, and legal compliance of your inventory and data.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYSHOWCASE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, INVENTORY INFORMATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

• Your access to, use of, or inability to access or use the Service;
• Any errors, omissions, interruptions, delays, downtime, or unavailability of the Service;
• The loss, corruption, deletion, duplication, or unauthorized access of data or inventory records;
• Any marketplace integration, third-party service, payment provider, or external API, including synchronization failures or interruptions;
• Any pricing information, market data, comparable sales, artificial intelligence (AI) output, recommendations, analytics, or other information provided through the Service;
• Any label printing, barcode generation, exports, reports, or compatibility issues with third-party hardware or software;
• Any user-generated content, inventory records, or transactions conducted by or between users; or
• Any unauthorized access to, alteration of, or use of your account or data.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSHOWCASE LLC’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO MYSHOWCASE LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF MYSHOWCASE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless MyShowcase LLC, its members, managers, officers, employees, agents, contractors, licensors, affiliates, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your access to or use of the Service;
• Your Contributions, inventory records, images, data, or other content submitted through the Service;
• Your purchase, sale, ownership, shipment, storage, authentication, grading, or transfer of collectibles or other property;
• Your transactions or interactions with other users or third parties;
• Your violation of these Terms or any applicable law, regulation, or third-party rights, including intellectual property, privacy, publicity, or contractual rights;
• Your misuse of the Service, artificial intelligence (AI) features, marketplace integrations, or third-party services; or
• Any negligent, fraudulent, deceptive, or unlawful act or omission by you.

MyShowcase reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with MyShowcase in the defense and resolution of the matter.

Governing Law and Venue

These Terms and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

You agree that exclusive jurisdiction and venue for any legal action shall lie in the state or federal courts located in Greene County, Ohio, and you hereby consent to personal jurisdiction in such courts.

Waiver and Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Changes to These Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time.

If a revision is material, we will make reasonable efforts to provide at least thirty (30) days’ notice, which may include notice via the Service, email, or other reasonable means. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after the revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
